General Terms and Conditions
This document establishes the general terms and conditions of the contractual relationship between KP Sort UK Ltd (hereinafter, "KP Green"), whose registered office is located at C/O STEVENS \& BOLTON LLP WEY HOUSE Guilford - United Kingdom GU1 4YD, registered 14183838, and individuals and/or legal entities (hereinafter, "CLIENT" or "CLIENTS") who express their intention to purchase products through the online request made on this website. This site is exclusively intended for the sale and purchase of products by professionals, expressly excluding sales to consumers.
To register as a CLIENT, the following are required:
a) Complete the registration form and accept the privacy policy.
b) Verification of registration as a CLIENT by KP Green.
c) Approval of the registration as a CLIENT.
d) Acquisition of CLIENT status.
These CLIENT requests constitute the specific conditions associated with these general conditions and must necessarily be accepted electronically before purchasing the products. These conditions are presented to the CLIENT on this website, allowing them to read, print, save, and accept them. These general terms and conditions, along with the specific product request made by the CLIENT, formalize the purchase contract between KP Green and the CLIENT, who declares having read, understood, and accepted these terms. The CLIENT can always consult these general terms and conditions on the website.
FIRST - OBJECT OF THE CONTRACT
Through these general conditions, KP Green agrees to deliver to the CLIENT the products requested via the website in exchange for a certain price.
By purchasing the products available on this site, the CLIENT declares that:
a) They are of legal age and have the capacity to contract.
b) They have the legal capacity to engage the company, if applicable, placing the order.
c) They have read, understood, and accepted these general terms and conditions of the contract.
SECOND - MODIFICATION OF GENERAL TERMS OF SALE
KP Green reserves the right to modify these general terms at any time, without prior notice to the CLIENT, who must review them before purchasing any product available on this website. In any case, the general conditions displayed on the website at the time the CLIENT acquires the corresponding products will be considered valid and applicable.
RIGHTS AND OBLIGATIONS OF KP Green
3.1 Delivery of the product
KP Green agrees to deliver the product(s) in perfect condition to the address indicated on the order form containing the specific conditions attached to these general conditions. KP Green cannot be held responsible for errors in delivery when the information entered by the CLIENT on the order form does not correspond to reality or has been omitted. The delivery time of 24 to 48 hours is indicative and cannot exceed fifteen days (deliveries will only be made within the United Kingdom and Channel Islands). KP Green will not be responsible for delivery delays due exclusively to the transport agency or unforeseeable and uncontrollable factors beyond their control.
In the event of unavailability of the ordered product, KP Green will inform the CLIENT and communicate the expected delivery time via email or the phone number provided by the CLIENT. KP Green may then offer the CLIENT the option to cancel the order or purchase an alternative item that has been proposed. In the absence of a response, it will be understood that the CLIENT wishes to wait for the allotted time. If it is impossible to supply the ordered product, either due to supply issues from KP Green suppliers or any other reason, the CLIENT will also be informed, and the order will be canceled without penalty, with KP Green committing to refund the full purchase amount within a maximum of 15 days, unless specific conditions identified on the product sheet itself apply.
3.2 Responsibility of KP Green
KP Green cannot be held responsible for:
3.2.1 Errors, CLIENT access delays when entering their data on the order form, the slowness or inability of recipients to receive the order confirmation, or any anomaly that may arise when these incidents are due to Internet network issues, fortuitous events, force majeure, or any other unpredictable and independent contingency from the company's good faith. In any case, KP Green agrees to resolve any issues that may arise and provide all necessary assistance to the CLIENT to achieve a prompt and satisfactory resolution of the incident.
3.2.2 Errors or damages caused by inefficient use of the service and bad faith by the CLIENT.
3.2.3 Non-operation or issues with the email address provided by the CLIENT for sending the order confirmation.
3.3 Warranties
KP Green guarantees that all products available for sale on the website comply with applicable international and community safety regulations.
FOURTH - RIGHTS AND OBLIGATIONS OF THE CLIENT
4.1 Payment
The CLIENT agrees to pay in advance the amount for the product effectively ordered under the following conditions and methods:
4.1.1 Amount
The remuneration for the product effectively ordered by the CLIENT is that indicated on the website and that appearing in the CLIENT's specific request at any given time, which constitutes the specific conditions of the specific order. The prices of products on the website do not include VAT.
The corresponding shipping costs must be added to the price indicated on the website for each of the products offered. KP Green agrees to inform the CLIENT of the shipping costs before finalizing the purchase and in the purchase confirmation email.
4.1.2 Payment Methods
The CLIENT must pay the amount corresponding to their order by:
Credit or debit card: by entering their data into the website's virtual terminal. By accepting this payment method, the CLIENT confirms they are authorized to use the card used for this purpose, as the cardholder. Card payments are subject to the provisions of Law 19/2018, of November 23, on payment services and other urgent financial measures, particularly regarding payment orders and the conditions for their revocation.
4.2 Credit Payment
Alternatively, the CLIENT has a monthly credit of up to 3000 € to be paid within a maximum of 30 days after placing the order. If this amount is exceeded within the specified period, the remaining amount must be settled before requesting other products on credit. Notwithstanding the foregoing, the CLIENT may request an extension of the 3,000 € credit up to the requested amount, in which case this extension will be subject to the express acceptance of KP Green.
4.3 CLIENT Responsibility
In all cases, the CLIENT is responsible for:
4.3.1
The CLIENT assumes all risks of deterioration, alteration, damage, and loss of products from the moment they have been made available to them by the third party delivering the products ordered on behalf of KP Green.
4.3.2
The CLIENT agrees to check the product's good condition with the third party delivering the ordered product on behalf of KP Green, immediately reporting any anomaly detected in the packaging.
If, upon subsequent verification of the content, the CLIENT detects an incident such as a blow, breakage, or any other damage caused by shipping, they agree to inform KP Green within a maximum period of 24 hours after receiving the product.
FIFTH - LIABILITY
5.1 KP Green is not responsible for:
5.1.1
The production of any type of damage that the CLIENT or third parties could cause to the website.
5.2
KP Green reserves the right to suspend access without prior notice, at its discretion, permanently or temporarily, until it is ensured that it is not responsible for any damage that may be caused. Similarly, KP Green will inform the competent authority of these incidents as soon as it has reliable knowledge that the damage caused constitutes any type of illicit activity.
SIXTH - COPYRIGHT AND TRADEMARKS
KP Green informs users that the content, programming, and design of the website are entirely protected by copyright, and any reproduction, communication, distribution, or transformation of the protected elements is expressly prohibited without the express consent of KP Green. The trademarks of products sold by KP Green on its website belong to their legitimate owners. KP Green may establish links or hyperlinks to articles or information belonging to third parties, always citing the source. The legitimate owner of the included information's copyright may request the removal of the aforementioned references at any time.
SEVENTH - COMPETENT JURISDICTION AND APPLICABLE LAW
These general conditions are governed by French law. Any conflict related to the interpretation or execution of these general conditions will be submitted to the jurisdiction of the courts of the city of Bayonne.
EIGHTH - NULLITY OF CLAUSES
If any clause of these general conditions is declared null and void, the other clauses will remain in force and will be interpreted considering the parties' will and the purpose of these conditions. KP Green may not exercise the rights and faculties conferred in this document, which does not imply any waiver of them unless expressly recognized by KP Green.
